NO PURCHASE NECESSARY TO ENTER OR WIN A PRIZE. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. Each winner may be required to execute prize acceptance documents within the time frame required by Sponsor (defined below), as more fully detailed below.

By entering this Sweepstakes (defined below), you agree to these Official Rules, which are a contract, so read them carefully before entering. Without limitation, this contract includes indemnities to Sponsor and Brandmovers, Inc., d/b/a The A Team (defined below) from you, a limitation of your rights and remedies, and a waiver of your right to bring or participate in class-action claims. This contract also includes a license from you permitting Sponsor and other parties broad rights to re-use any content you submit as part of your entry and the grant of a right to use your name/likeness in association with re-use of that content, including publication in Sponsor’s marketing materials.

OVERVIEW: The Merck Animal Health “Pickup Pack-up” Sweepstakes (the “Sweepstakes”) consists of eight (8) entry periods (each an “Entry Period”), and one (1) Grand Prize drawing. Entry into one Entry Period is not entry into any other Entry Period. However, entry into any Entry Period also grants entry into the Grand Prize drawing.
ELIGIBILITY: The Merck Animal Health “Pickup Pack-up” Sweepstakes (the “Sweepstakes”) is open to legal residents of any one (1) of the fifty (50) United States or the District of Columbia (“Territory”) who are at least the age of majority in the state or jurisdiction in which they primarily reside. Employees, officers, and directors of Intervet Inc., d/b/a Merck Animal Health (“Sponsor”) or its parents, affiliates (including without limitation, Merck & Co. Inc.), subsidiaries, successors and assigns, advertising, promotion or fulfillment agencies (including Brandmovers, Inc., d/b/a The A Team (“Brandmovers”)), prize suppliers, insurers, legal advisors, officials or employees of any government agency (including municipal, local, regional, state, or federal and where such affiliation or employment poses a conflict of interest or violates applicable policies related to gifts or contests, all as determined by Sponsor in its sole discretion), and members of any such person’s immediate family (parent, legal guardian, spouse, sibling, or child and their respective spouses) and/or persons living in the same household of each (whether or not related) are not eligible. No corporation and other entity or group is eligible to participate in this Sweepstakes or claim any prize won by its employee or member. Void where prohibited by law and outside the Territory. By participating in this Sweepstakes and as a condition of entry, entrants agree to these Official Rules and the decisions of Sponsor and Brandmovers, which are final and binding in all respects, including interpretation of these Official Rules, acceptance or rejection of purported entries, and awarding of the prizes. Sponsor, Brandmovers, and each of their representatives reserves the right to require documentation from any potential entrant, including, without limitation, financial documents, a sworn statement, a government-issued identification with photograph or other documents, to verify eligibility, otherwise he or she may be disqualified. Entities are not eligible and have no right to claim any prize won by their employees or agents. Materials and advertisements related to this Sweepstakes are intended for viewing only within the Territory.
HOW TO ENTER: The Sweepstakes begins April 1, 2026 at 12:00:01 a.m. Eastern Time (“ET”) and ends July 31, 2026 at 11:59:59 p.m. ET (the “Sweepstakes Period”).

There are two (2) ways to enter:
1. Online Entry Form – To enter, visit www.packupsweeps.com and complete the entry form. All fields must be completed. Each entry is valid only for that Entry Period’s drawing (and the Grand Prize drawing), per the chart in Rule 5 below. Incomplete entries are void. No responsibility is assumed for lost, late, damaged, misdirected, illegible, incomplete, incorrect entries or other sweepstakes materials, all of which are void, or for errors due to computer malfunctions, software errors, transmission problems or interruptions in operations. Sponsor’s database computer is the official timekeeping device for the Sweepstakes.
2. Instagram Entry – During the Sweepstakes Period, create and post an image or video showcasing what you typically pack up in your pickup during a recent shopping trip for animal health products (e.g., sharing what you bought on your trip into town). Your Post does not need to depict any purchase or shopping activity. Then follow @merckanimalhealth on Instagram and post the image or video to your Instagram account (“Post”). Your Post must tag @merckanimalhealth and include both of the following hashtags: #MerckAnimalHealthPickupPackup and #sweepstakes. Each Instagram entry is valid only for that Entry Period’s drawing (and the Grand Prize
  drawing), per the chart in Rule 5 below.

IMPORTANT: You must have an Instagram account set to “public”, and your account must have direct messaging (or private message) enabled. Creating an Instagram account is free and can be achieved by visiting http://www.instagram.com and following the onscreen instructions. Your Instagram account activities, including any with respect to this Sweepstakes, are subject to any applicable terms and privacy policies of Instagram.

Only one (1) entry per person per Entry Period, per Entry Method. Entries submitted via Instagram and entries submitted via the Online Entry Form are treated equally and carry identical odds of winning. Sponsor’s computer is the official time keeping device for this Sweepstakes, and time, for all purposes relevant to the Sweepstakes, is measured based on Eastern Time. Any attempts to enter more than the permitted number of times with multiple identities, email addresses, or by any other means, may result in disqualification. Entries using macro, robotic, script or other forms of automatic entry will be disqualified. No responsibility is assumed for lost, late, damaged, misdirected, illegible, incomplete, incorrect entries or other sweepstakes materials, all of which are void, or for errors due to computer malfunctions, software errors, transmission problems or interruptions in operations. Proof of transmission is not proof of receipt. Entries will not be acknowledged or returned. In the event of a dispute over the identity of an online entrant, entry will be deemed submitted by the authorized account holder of the e-mail address submitted at time of entry or associated with the social media account used to post the entry. “Authorized account holder” is defined as the natural person who is assigned to an e-mail address or other similar account associated with the social media account used to enter.

Post Requirements: All Posts must: (a) be the exclusive original work of the entrant; (b) be in keeping with the Sponsor’s image, (c) not defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon the rights of any person or entity, including but not limited to copyright, trademark, privacy or publicity, (d) not contain any commercial/corporate advertising, including but not limited to corporate logos, brand names, and slogans other than the Sponsor’s, (e) not depict any conduct or content is unsafe, immoral, obscene or otherwise inappropriate as determined by Sponsor in its sole and absolute discretion; (f) not contain images of anyone under the age of majority in their state of residence; and (g) not have been submitted in any other sweepstakes or won any prize.

Each entrant represents and warrants that they have obtained permission from any and all recognizable persons other than the entrant depicted or mentioned in a Post or photo and agrees, upon request, to furnish written proof of such permission. Failure to meet any of the requirements above, or to otherwise comply with these Official Rules, may result in disqualification. Instagram participation is optional. Entrants may not inaccurately tag themselves or others in their Post, nor may they encourage others to inaccurately tag content. Posts that include inaccurate tagging or any attempt to manipulate Instagram’s tagging features will be void and may result in disqualification at Sponsor’s sole discretion.

Entries generated by a macro, bot, or other automated or spam-like means, or entries submitted via other attempts to manipulate the normal operation of the entry process are prohibited and may be disregarded by Sponsor, and any entrant engaging in or benefitting from such activities may be disqualified, all as determined by Sponsor in its sole discretion. Sponsor may restrict or void suspicious entries from any identifiable source in its sole discretion. Entries must be submitted and received by Sponsor during the Sweepstakes Period and in strict accordance with the instructions and restrictions in these Official Rules. Those who do not follow all of the instructions, provide the required content in their entry, or abide by these Official Rules will be disqualified and any associated entry void. Purported entries that are incomplete, lost, late, misdirected, illegitimate, forged, altered, incomprehensible, garbled, or generated by a macro, bot, or other automated means will not be accepted and will be void. Entries made on your behalf by another, made by you on behalf of any other individual, or made by any entity, and/or originating at or using any application, website or online service, including, without limitation, commercial promotion subscription, notification, and/or entering services, will be declared invalid and disqualified for this Sweepstakes. As a condition of entering the Sweepstakes, without limiting any other provision in these Official Rules, each entrant gives consent for Sponsor and its agents to obtain and deliver his or her name, address, and other information and content to third parties or to publish such information for the purpose of administering this Sweepstakes and complying with applicable laws, regulations, and rules. This may include publication of your name and other information on a winners list.

LICENSE & OTHER RIGHTS GRANTED: By submitting an Entry, you hereby grant (except where prohibited by law) the Sponsor Affiliates (defined below) the irrevocable, sublicensable, absolute, perpetual, and worldwide right to use, reproduce, edit, market, store, distribute, have distributed, publicly and privately display, communicate, publicly and privately perform, transmit, have transmitted, create derivative works based upon, and promote the Entry or portions thereof (as such may be edited and modified by Sponsor at its discretion), and your name, likeness and voice, for editorial, commercial, promotional, and all other purposes, in any language and via any and all media whether now or later known or developed, including without limitation posting on Sponsor-affiliated websites, social media sites, and/or other Sponsor-selected media, without further review, notice, approval, consideration, or compensation beyond the opportunity to win a prize in this Sweepstakes.

Each entrant waives and releases the Sponsor Affiliates from any and all claims that entrant may now or hereafter have in any jurisdiction based on “moral rights” or “droit moral” or unfair competition with respect to Sponsor’s exploitation of any Entry without further notification or compensation to entrant of any kind, and agrees not to instigate, support, maintain, or authorize any action, claim, or lawsuit against Sponsor, each of its licensees, or any other person in connection with this Sweepstakes, on the grounds that any use of any Entry or element thereof or derivative works therefrom in accordance with this license infringes or violates any of entrant’s rights (including MORAL RIGHTS) therein.

By entering the Sweepstakes, each entrant agrees that their Entry is gratuitous and without restriction, and will not place Sponsor under any obligations other than those contained in these Official Rules, and that the Sponsor Affiliates are free to disclose the ideas contained in the Entry on a non-confidential basis to anyone or otherwise use the ideas therein without any compensation to the entrant. Each entrant further acknowledges that Sponsor has wide access to ideas, images, and other creative materials, and that Sponsor does not waive any rights to use similar or related ideas previously known to Sponsor, or developed by its employees, or obtained from sources other than the entrant’s Entry. Each entrant also acknowledges that many ideas or images may be competitive with, similar to, or identical to their Entry and/or each other in idea, components, format, or other respects. Each entrant acknowledges and agrees that Sponsor does not now and will not have in the future any duty or liability (direct or indirect; vicarious, contributory, or otherwise) with respect to the infringement or protection of the entrant’s copyright in and to their Entry or its constituent elements. Each entrant acknowledges that, with respect to any claim by entrant relating to or arising out of Sponsor’s actual or alleged exploitation or use of any Entry or other material submitted in connection with the Sweepstakes, the damage, if any, thereby caused to the applicable entrant will not be irreparable or otherwise sufficient to entitle such entrant to seek injunctive or other equitable relief or in any way enjoin the production, distribution, exhibition, or other exploitation of Sponsor property or product, and entrant’s rights and remedies in any such event are strictly limited to the right to recover damages, if any, in an action at law (provided that nothing in these Official Rules will restrict a California resident’s rights under applicable law (if any) to pursue public injunctive relief in accordance with the dispute-resolution procedures set forth in these Official Rules).

By entering the Sweepstakes, each entrant acknowledges that they will not now or in the future be paid or compensated in any way for their Entry or for granting the Sponsor Affiliates any of the rights set out in these Official Rules. Each entrant further acknowledges that the Sponsor Affiliates are not obligated to make use of any of the rights granted in these Official Rules.
ODDS OF WINNING; SELECTION/NOTIFICATIONS: For all Entry Periods, the odds of winning depend on the number of eligible entries received for that Entry Period. For the Grand Prize drawing, the odds of winning depend on the number of eligible entries received during the Sweepstakes Period. A series of eight (8) Entry Periods and one (1) Grand Prize drawing will be held in accordance with the chart below. At the end of each Entry Period, one (1) First Prize Winner will be randomly selected from among all eligible entries received during the relevant Entry Period. Entry into each Entry Period is separate. Entry into any of the Entry Periods also provides entry into the Grand Prize drawing. Each Entry Period begins and ends Eastern Time (“ET”) on the dates stated in the chart below.

Per the chart above, Brandmovers will attempt to contact each potential winner via the email address submitted in the Entry Form or via direct message to the Instagram account holder for Instagram entries. Brandmovers may elect to notify the potential winner(s) using a direct message, or similar, feature on social media (provided that Sponsor is under no obligation to do so). The potential winners will be required to respond to Brandmovers as instructed within seventy-two (72) hours of Brandmovers notifying the potential winner. Entrants are encouraged to monitor their email and social media accounts for correspondence from Brandmovers. If any prize, prize notification, or Sweepstakes-related communication is rejected, faulty, or returned as undeliverable or if a potential winner does not respond according to the notification’s or Brandmover’s instructions or otherwise fails to comply with these Official Rules, the prize may, in Sponsor’s sole discretion, be forfeited and an alternate winner may be selected (time permitting). Upon prize forfeiture, no compensation will be given and Sponsor will have no responsibility or liability to that entrant. To claim a prize, each potential winner must follow the directions in their notification. Sponsor reserves the right to modify the notification procedures in connection with the selection of an alternate potential winner, if any.

Each potential prize winner may, in Sponsor’s sole discretion, be required to complete, sign, have notarized (if applicable) and return an Affidavit of Eligibility and Liability/Publicity Release (unless prohibited by law), and tax documents, if applicable (collectively, “Prize Winner Documents”) within the time frame specified and in the form provided by Sponsor, without revision, or prize may be forfeited. Potential winners may also be required to provide a copy of a valid, government-issued ID in connection with the Prize Winner Documents. The Prize Winner Documents, if applicable, must be received by Sponsor within five (5) days of Sponsor sending the documents to the potential winner or other time frame as stated in the Prize Winner Documents, or prize may be forfeited and an alternate winner may be selected. The prize claim and Prize Winner Documents are subject to verification by Sponsor. The prizes, if legitimately claimed, will be awarded. If any prize or Sweepstakes-related communication is rejected, faulty, or returned as undeliverable, if a winner cannot be reached after a reasonable attempt has been made (as determined by Sponsor or Brandmovers in its sole discretion), or if a winner does not comply with Sponsor’s or Brandmovers’s instructions, that winner may be disqualified and an alternate winner may be randomly selected; however, neither Sponsor nor Brandmovers will be obligated to pursue more than three (3) alternate winners for any prize, after which some prizes may go unawarded.

PRIZES:
Grand Prize – One (1) Grand Prize is available consisting of five (5) $1,000 WeatherTech® Gift Cards. Total Approximate Retail Value (ARV) of Grand Prize: $5,000.

First Prizes – There is One (1) First Prize available for each of the eight (8) Entry Periods. There is a total of eight (8) First Prizes available. Each First Prize is prize bundle consisting of one (1) WeatherTech® “Just Add Water” Bundle (includes one (1) 5-Gallon Bucket, one (1) Roller Dolly, one (1) Bucket Caddy, one (1) Wash Mitt, one (1) Water Blade, one (1) Dry Towel, and one (1) Truck Wash Soap), one (1) Yeti® 12oz. Can Cooler, one (1) Boot Tray, two (2) Ratchet-style Tie-down Straps, two (2) Cup Holder Coaster In-lays, and one (1) Carhartt® Seat-back Organizer. Approximate Retail Value (ARV) of each First Prize: $300.

Total ARV of all prizes: $7,400.

Each person may only win a maximum of one (1) First Prize. First Prize Winners remain eligible for the Grand Prize. Acceptance of a prize constitutes winner’s permission for Sponsor to use winner’s name, photograph, likeness, voice, biographical information, statements, and address (city and state) for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, without further compensation except where prohibited by law.

Only the type and quantity of prizes described in these Official Rules will be awarded. If, for any reason, more bona fide winners come forward seeking to claim prizes in excess of the number of each type of prize set forth in these Official Rules, the winners, or remaining winners, as the case may be, of the advertised number of prizes available in the prize category in question may be selected in a random drawing from among all persons making purportedly valid claims for such prize(s). Inclusion in such drawing shall be your sole and exclusive remedy in such circumstances.

No transferring of prize, prize substitution, or cash equivalent of prize permitted. The Sponsor reserves the right to substitute the prize with a prize of equal or greater value in the event an advertised prize becomes unavailable. Any difference between the actual value of any prize and the ARV set forth in these official rules may not be claimed and will not be awarded. Allow 8-12 weeks after winner verification for prize delivery. Any images depicted on the website or in any advertisements for the Sweepstakes are for illustration only. Company and product names for prize components are trademarks of the respective manufacturers, none of which is a sponsor of or affiliated in any way with this Sweepstakes.
GENERAL: (a) Neither Sponsor, nor its parents (including Merck & Co. Inc.), subsidiaries, affiliates, prize suppliers, advertising and promotion agencies (including Brandmovers and its parents, subsidiaries, affiliates, and agencies) and all of their respective directors, officers, employees, and agents (collectively, the “Sponsor Affiliates”) are responsible for any of the following, whether caused by a Sponsor Affiliate, the entrant, or by human error: any lost, late, unintelligible, illegible, incomplete, stolen, mutilated, misdirected, or undelivered entries, email, mail, or Sweepstakesrelated correspondence or materials; entries that are submitted by illegitimate means or entries in excess of any stated limit or otherwise in violation of these Official Rules; any error, omission, interruption, defect, or delay in transmission or communication; viruses or technical or mechanical malfunctions; interrupted or unavailable cable, satellite, or other systems; failures of electronic equipment, computer hardware or software; lost or unavailable network connections; failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications or entry information; printing errors; unauthorized intervention in or corruption of Sweepstakes operation; or any mechanical or human error that may occur in the processing of entries or distribution of prizes. Sponsor Affiliates are not responsible, and Sponsor may disqualify you, if your email address, mailing address or telephone number does not work or if it is changed, without prior written notice to Sponsor. Sponsor Affiliates are not responsible for electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in entrant’s inbox to receive messages.

(b) All federal, state, and local taxes and any expenses not specified in these Official Rules as being included as part of a prize are the sole responsibility of each winner. Sponsor will not replace any lost, mutilated or stolen prizes or any prize that is undeliverable or does not reach the winner because of incorrect or changed contact information. If a winner does not accept or use the entire prize, the unaccepted or unused part of the prize will be forfeited and Sponsor will have no further obligation with respect to that prize or portion of the prize. No prize will or may be transferred, substituted, assigned, except at Sponsor’s sole discretion, and Sponsor reserves the right to substitute a prize or portion thereof with another prize or portion thereof of equal or greater value for any reason. All prizes legitimately claimed will be awarded.

(c) By participating, each entrant agrees to release, discharge, indemnify, defend, and hold harmless the Sponsor Affiliates from and against any and all liabilities, lawsuits, costs, expenses and fees (including attorneys’ fees) whatsoever for any injury, negligence, loss or damage of any kind, including, without limitation, injury, damage, loss, death, or accident to person, pet, or property, arising directly or indirectly, from or in connection with acceptance, awarding, possession, use or misuse of a prize or while preparing for, participating in, and/or traveling to or from any Sweepstakes- or prize-related activity. Without limiting the foregoing, each winner understands and agrees that any product or service utilized by the winner as a result of winning a prize in this Sweepstakes is selected by winner in their sole discretion.

Each entrant understands and agrees that all rights under Section 1542 of the Civil Code of California and any similar law of any state or territory of the United States are hereby expressly waived by him/her. Section 1542 reads as follows: “A general release does not extend to claims which the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

(d) The Sponsor Affiliates are not responsible for any typographical or printing error in these Official Rules, advertising for this Sweepstakes, or any other materials. Sweepstakes materials and entries are void if not obtained through the authorized, legitimate channels described in these Official Rules, or if any part is altered, duplicated, forged, counterfeited, or tampered with in any way, or if any Sweepstakes materials contain printing, typographical, mechanical or other errors.

(e) If this Sweepstakes is incapable of running as planned for any reason, including, without limitation, because of tampering, unauthorized intervention, fraud, human error, printing or seeding error, or any other cause that corrupts, threatens to corrupt, or adversely affects the administration, security, fairness, integrity, or proper conduct of the Sweepstakes, Sponsor reserves the right, in its sole discretion, to cancel, suspend, or modify the Sweepstakes. If, due to printing, production, administrative, or seeding errors or omissions or for any other reason whatsoever, more entrants are identified as a potential winner of a particular prize than there are available prizes, the identified potential winners (or remaining winners, as the case may be) may, in Sponsor’s sole discretion, be entered into a random drawing from among all persons making purportedly valid claims for such prize(s) to determine allocation of the number of prizes (or remaining prizes) available as described in these Official Rules. Drawing will be conducted by Sponsor or its representative, the decisions of which will be final in all matter related to this Sweepstakes and the potential prize drawing. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances.

(f) Each winner agrees that their prize is provided as-is and the Sponsor Affiliates do not make any warranty, representation, or guarantee, expressed or implied, in fact or in law, relative to the use of any of the prizes, including, without limitation, quality, merchantability, or fitness for a particular purpose, whether now known or hereafter enacted.

(g) Sponsor reserves the right to permanently disqualify any person it believes has violated or attempted to violate these Official Rules. By participating in this Sweepstakes, each entrant agrees to not knowingly damage or cause interruption to the Sweepstakes and/or prevent others from participating in the Sweepstakes. Any attempt to tamper with, impair, damage, or undermine the legitimate operation, administration, security, fairness, or proper play of this Sweepstakes may violate criminal and/or civil laws. If such an attempt is made or if any person supplies false information, obtains entries by fraudulent means, or is otherwise determined to be in violation of these Official Rules in an attempt to obtain any prize, Sponsor may disqualify that person (or any entrant benefiting from such conduct) and may seek damages to the fullest extent permitted by law.

(h) Sponsor’s failure to or decision not to enforce any provision in these Official Rules will not constitute a waiver of that or any other provision. In the event there is any ambiguity in or discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials and these Official Rules (including any alleged discrepancy or inconsistency in these Official Rules), it will be resolved by Sponsor in its sole discretion. Entrants waive any right to claim ambiguity in the Sweepstakes or these Official Rules. The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules will otherwise remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. If Sponsor determines at any time in its sole discretion that the winner or potential winner is disqualified, ineligible, or in violation of these Official Rules, Sponsor reserves the right in its sole discretion to select an alternate winner, even if the disqualified potential winner’s name may have been shown or announced on a winners list or elsewhere.

(i) As a condition of participating in this Sweepstakes, each entrant agrees that their participation in the Sweepstakes and these Official Rules are governed by the laws of the State of New Jersey, USA. All issues and questions concerning the construction, validity, interpretation, and enforceability of the Official Rules, entrants’ rights and obligations, or the rights and obligations of Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with the laws of the State of New Jersey, without giving effect to any choice of law or conflict of law rules. Any dispute regarding this Sweepstakes or these Official Rules will be brought in the federal or state courts located in or having jurisdiction over Morris County, New Jersey, and each entrant irrevocably consents and waives objection to the personal jurisdiction of such courts. In addition, each entrant agrees that all causes of action arising out of or connected with this Sweepstakes, these Official Rules, or any prize awarded, shall be resolved individually, without resort to any form of class action, and any and all claims, judgments, and awards shall be limited to actual out-of-pocket damages, excluding attorneys’ fees and court costs. Further, in any such dispute, under no circumstances will a entrant be permitted or entitled to obtain awards for, and hereby waive all rights to claim, incidental or consequential damages other than their actual out-of-pocket expenses (if any), not to exceed twenty U.S. dollars ($20 USD) (provided that nothing in these Official Rules will restrain a California resident’s right, if any, to seek public injunctive relief as permitted by law).

(j) Without limiting any other provision in these Official Rules, the Sponsor Affiliates are not responsible or liable to any entrant or winner or any person claiming through such entrant or winner for failure to supply a prize or any part thereof in the event that any of the Sweepstakes activities or the Sponsor Affiliates’ operations or activities are affected by any cause or event beyond the sole and reasonable control of the applicable Sponsor Affiliate (as determined by Sponsor in its sole discretion) including, without limitation, by reason of any acts of God, equipment failure, threatened or actual terrorist acts, air raid, act of public enemy, war (declared or undeclared), civil disturbance, insurrection, riot, pandemic/epidemic or similar public-health crisis, fire, explosion, earthquake, flood, hurricane, unusually severe weather, blackout, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, any law, rule, regulation, action, order, guidance, or request adopted, taken, or made by any governmental or quasi-governmental entity (whether or not such governmental act proves to be invalid), or any other cause, whether or not specifically mentioned above.
